These Terms of Service ("Terms") govern your access to and use of the Voxel Dungeons website ("Site"), operated by Yora Entertainment Inc., located in Ontario, Canada ("Voxel Dungeons," "we," "our," or "us"). By accessing or using our Site, you agree to these Terms in full.
Our Services are intended for and may only be used by individuals who are at least 13 years of age. All users who are minors within their jurisdiction must have the permission of and be directly supervised by their parent or guardian to use our Services. If you are a minor, you must have your parent or guardian read and agree to these Terms of Service prior to using our Services.
All users are required to accept and comply with these Terms of Service, including our Code of Conduct applicable to our Discord channels, which is incorporated into these Terms by reference. By using our Services for any purpose other than obtaining support, you affirm that you have read, understood, and agree to be bound by these Terms. We may amend these Terms from time to time, and changes will take effect as soon as they are published. We will employ reasonable means to notify you of any changes so that you may review them and determine whether or not to continue using our Services. Your continued use of our Services, other than solely for obtaining support, will constitute your acceptance of the revised Terms.
IF YOU DO NOT AGREE WITH THE ENTIRETY OF THESE TERMS OF SERVICE, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SERVICE.
IN THE EVENT OF ANY CONFLICT BETWEEN THESE TERMS AND ANY APPLICABLE PURCHASE ORDER AND/OR AGREEMENT APPLICABLE TO YOU, THE APPLICABLE PURCHASE ORDER AND/OR AGREEMENT SHALL CONTROL.
ACKNOWLEDGEMENT: YOU ACKNOWLEDGE (A) THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND (B) THAT THESE TERMS HAVE THE SAME FORCE AND EFFECT AS A SIGNED AGREEMENT.
By accessing or using the Voxel Dungeons Site, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue your use of our services.
Subject to your compliance with these Terms, when purchasing a digital asset listed by Voxel Dungeons on the Voxel Dungeons storefront, or other storefronts of which we may we distribute official Voxel Dungeons content, we grant to you a non-exclusive, limited, non-transferable, non-sublicensable, non-assignable, and revocable license to access and use the Intellectual Property owned by Voxel Dungeons. Assets purchased are protected under copyright laws.
This license may be revoked at any time without notice if your use violates these Terms or is harmful or damaging to Voxel Dungeons, our partners, our users, or our services.
Voxel Dungeons reserves the right to periodically update this license to ensure clarity and protection for our users and vendors. Major updates will be communicated through appropriate announcements. Continued use of assets following updates constitutes your acceptance of any changes.
All digital assets provided on the Site, including those by third-party creators, are the intellectual property of Voxel Dungeons. Upon submission, creators transfer all intellectual property rights to Voxel Dungeons.
You agree not to challenge or infringe upon our intellectual property rights.
Voxel Dungeons permits you to use its name, logo, design, and other brand features non-commercially for instructive, educational, or illustrative purposes, provided it does not imply or suggest a relationship or affiliation with, or endorsement by Voxel Dungeons. Our brand features may not be placed on manufactured products without explicit permission.
Payments are processed securely through Stripe, PayPal, Apple Pay, or Google Wallet. All payments must be made in USD currency. Prices may be subject to change without notice.
All purchases from Voxel Dungeons are final and non-refundable. You agree waive any rights you may have to a refund period. All purchases from us are final and non-refundable. If you lose access to download links sent via email, or are unable to download your digital asset for any reason, you can reach out to our team through official support channels for remediation, however, no refund will be provided for your purchases.
We provide no guarantee that prices for items purchased will remain the same and we do not offer price protection or refunds in the case of a reduction.
The Voxel Dungeons may contain links to third-party websites, integration or interfaces between the Voxel Dungeon website and any third party products and/or services with functionality that interoperates with the Voxel Dungeons website, digital products, and/or access to content, products, and services of third parties, which are not maintained by us (“Third-Party Websites”). Although Voxel Dungeons makes reasonable efforts to curate the Voxel Dungeons Content it makes available on the Voxel Dungeons website, Voxel Dungeons is not responsible for any Third-Party Websites and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Websites, or their products or services. You use all links in Third-Party Websites at your own risk. You should review applicable terms and policies of any Third-Party Websites before proceeding with any transaction with any third party.
You acknowledge and agree that Voxel Dungeons has no responsibility for the accuracy or reliability of information provided by the Third-Party Websites. You acknowledge that we shall not be responsible or liable for any damage or loss caused or alleged to be caused by, or in connection with, your reliance on any information, good, service, or any other material provided through a Third-Party Website. You bear all risk associated with the use of the Third-Party Websites, third party services, and your correspondence or business dealings with advertisers other than us found on or through the Voxel Dungeons website. We reserve the right to terminate such Third-Party Website links at any time.
Voxel Dungeons will treat any information we collect or process from you through the Voxel Dungeons website in accordance with our Privacy Policy (the “Privacy Policy”), which is incorporated herein by reference. Please review the Privacy Policy before you use the Voxel Dungeons website. By using, accessing, and/or purchasing products on the Voxel Dungeons website, you consent to the actions taken by Voxel Dungeons with respect to your information in compliance with the Privacy Policy. If you are unwilling to accept the terms and conditions of the Privacy Policy, please do not use the Voxel Dungeons website.
IN NO EVENT WILL VOXEL DUNGEONS AND/OR OUR LICENSORS OR OTHER THIRD PARTIES MENTIONED ON THE VOXEL DUNGEONS PLATFORM BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, DAMAGES RELATING TO THE USE OR INABILITY TO USE THE VOXEL DUNGEONS PLATFORM, THE VOXEL DUNGEONS CONTENT, OR OTHER INFORMATION CONTAINED ON THE VOXEL DUNGEONS PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, REGULATION, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL VOXEL DUNGEONS AND/OR OUR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON THE VOXEL DUNGEONS CONTENT PROVIDED ON THE VOXEL DUNGEONS PLATFORM.
IF ANY EXCLUSION, DISCLAIMER, OR OTHER PROVISION CONTAINED IN THESE TERMS IS HELD TO BE INVALID FOR ANY REASON BY A COURT OF COMPETENT JURISDICTION, AND VOXEL DUNGEONS OR ONE OF ITS AFFILIATES, OFFICERS, DIRECTORS, AGENTS, OR EMPLOYEES BECOMES LIABLE FOR LOSS OR DAMAGE THAT COULD OTHERWISE BE LIMITED, THE MAXIMUM, AGGREGATE LIABILITY OF VOXEL DUNGEONS AND/OR OUR LICENSORS AND ANY OF THEIR AFFILIATES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, ANY PORTION OF THE VOXEL DUNGEONS PLATFORM OR OTHERWISE UNDER THESE TERMS, WHETHER UNDER CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF (I) TEN DOLLARS ($10.00 USD), OR (II) THE AMOUNT ACTUALLY PAID BY YOU TO VOXEL DUNGEONS HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE DATE YOU FIRST BRING A CLAIM.
BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
THE NEGATION AND LIMITATION OF DAMAGES SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND VOXEL DUNGEONS. THE VOXEL DUNGEONS PLATFORM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.
Any claim or cause of action arising out of or related to your use of the Voxel Dungeons Platform, these Terms, or your use of the Voxel Dungeons Content made available through or on the Voxel Dungeons Platform must be filed within one (1) year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary.
Voxel Dungeons is not liable for misuse of purchased assets. Users agree to indemnify Voxel Dungeons against any claims or damages resulting from violations of these Terms.
Unless applicable law requires otherwise, You agree to indemnify, defend, and hold harmless Voxel Dungeons, Yora Entertainment Inc., its affiliates, shareholders, directors, officers, co-branders, subsidiaries, parents, employees and agents, and, at our sole election, defend the foregoing, from any claim, demand, liability, dispute, damage, cost, expense, or loss, including attorneys’ fees and costs of litigation, arising out of or in any way related to your use of or access to the Voxel Dungeons website and products, your use of the Voxel Dungeons Content, your Data, your violation of these Terms, your violation of any rights of a third party, your violation of applicable laws, or any negligence, fraudulent, or willful misconduct by or on behalf of you or your Authorized Users.
Please read this section carefully. Except as the Terms otherwise provide, you waive your rights to try any claim in court before a judge or jury and to bring or participate in any class, collective, or other representative action.
You agree that any dispute arising out of or relating in any way to your use of the Voxel Dungeons website requires that the claim be resolved exclusively by confidential, binding arbitration except that, to the extent you have in any manner violated or threatened to violate the Voxel Dungeons Content and any intellectual property rights therein, Voxel Dungeons may seek injunctive or other appropriate relief.
Disputes will first undergo informal negotiation. Unresolved disputes will be arbitrated in Ottawa, Canada, under Canadian Arbitration Rules. No claims of any other parties may be joined or otherwise combined in the arbitration proceeding. Unless otherwise expressly required by applicable law, each party shall bear its own attorneys’ fees without regard to which party is deemed the prevailing party in the arbitration proceeding. Except for punitive and consequential damages (which may not be awarded), and subject to these Terms, the arbitrators shall be authorized to award either party any provisional or equitable remedy permitted by applicable law.
No employee, agent, representative or affiliate of Voxel Dungeons has authority to bind Voxel Dungeons to any oral representations or warranties concerning the Voxel Dungeons website. Any written representation or warranty not expressly contained in these Terms will not be enforceable.
We may make changes to these Terms from time to time. We will post updates and changes to the Voxel Dungeons website, and the date that these Terms were last revised is identified at the top of this page. If you do not agree to the updated Terms, you must cease using the Voxel Dungeons website.
Voxel Dungeons may terminate these Terms and your use of the Voxel Dungeons website at any time without notice. In addition, these Terms will terminate immediately and automatically without any notice if you violate any of the terms and conditions herein. Upon termination, all provisions of these Terms which are by their nature intended to survive termination, all representations and warranties, all limitations of liability and all indemnities shall survive such termination.
Voxel Dungeons respects the intellectual property rights of others and adheres to the provisions of the Copyright Act of Canada. If you believe that your copyrighted work has been copied or used in a manner that constitutes copyright infringement on our platform, please provide written notice containing the following information to our designated copyright agent at legal@voxeldungeons.com:
Voxel Dungeons will promptly investigate valid notices and remove infringing content or disable access to it, as required by Canadian law. We reserve the right to ignore notices that do not substantially comply with these requirements, and we may respond to non-compliant notices at our discretion.
Although we attempt to ensure the integrity and accurateness of the Voxel Dungeon website, we make no claim, representation, or warranty as to the accuracy, reliability, or suitability of the information contained within the Voxel Dungeon website, including, but not limited to, Voxel Dungeon Content, User Content and the information contained in any text, documents, graphics, and other elements. The Voxel Dungeon Content and/or User Content may contain technical errors, typographical errors, errors made or perpetuated by third parties, or other forms of error. The Voxel Dungeon Content and/or User Content may be changed without notice and is not guaranteed to be complete, correct, timely, current or up-to-date. Similar to any printed materials, the Voxel Dungeon Content and/or User Content may become out-of-date. We undertake no obligation to update any Voxel Dungeon Content and/or User Content on the Voxel Dungeon website. We reserve the right in our sole discretion to make alterations or deletions to the Voxel Dungeon Content and/or User Content at any time without notice. We reserve the right in our sole discretion to edit or remove any digital assets, documents, information or other content appearing on the Voxel Dungeon website at any time without notice.
Neither party shall assign its rights or delegate obligations under these Terms without the prior written notification to the other party . Notwithstanding the foregoing or anything to the contrary in this contract. Voxel Dungeons shall have the right without consent to assign this contract or rights hereunder or delegate obligations (a) to any affiliate or (b) to any third party that has acquired all or substantially all of its assets or business, whether by merger, or acquisition, transfer, reorganization, or otherwise: provided that any such assignment or delegation to any affiliate or third-party acquirer is conditioned upon the assignee's assumption of all obligations and liabilities of the parties hereunder.
If any provision in these Terms is found to be invalid, such provision shall be ineffective only to the extent of such invalidity, and the parties agree that the court or arbitrator should give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms will remain in full force and effect. No waiver by us of any term or condition set forth herein shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to act with respect to a breach by any visitor using the Voxel Dungeons website does not constitute a waiver of our right to act with respect to subsequent or similar breaches.
These Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its choice-of-law provisions unless the Province/State within which Customer is incorporated requires that the laws of that jurisdiction apply and Customer provides notice of the same.
